Ensure compliance with Companies Act, SECP rules and corporate governance; act as Secretary to the Board and its Committees; prepare agendas, minutes and statutory returns; maintain statutory books and corporate records; advise Board on governance, regulatory and legal matters; coordinate between Board, management, shareholders and regulators.

Must be a member of a recognized professional accounting body OR a recognized body of corporate/chartered secretaries OR hold a master’s degree in business, finance, commerce or law from an HEC-recognized university. Minimum 20 years post-qualification relevant experience, including at least 5 years in senior management/executive roles with demonstrated expertise in corporate governance, regulatory compliance, Board affairs and company secretarial functions. Must meet Fit & Proper criteria under Schedule-IV of the State-Owned Enterprises (Governance and Operations) Act, 2023.

Evaluate accounting, financial, credit and operational activities; review and appraise adequacy of accounting and operational controls; formulate internal audit programs covering all financial aspects; lead internal audit team and coordinate with external auditors and the Audit Committee; undertake special audits and investigations.

Must be a member of a recognized professional accounting body (e.g., CA/CPA/ACMA/ACCA) or hold MBA (Finance) from a reputable institution. Minimum 20 years post-qualification relevant experience, with at least 5 years in senior management or executive-level roles. Proven expertise in auditing, risk management, internal control design and implementation, and public/private sector financial compliance. Must meet Fit & Proper criteria under Schedule-IV of the State-Owned Enterprises (Governance and Operations) Act, 2023.
