| 3 | To approve the final cash dividend of Rs. 1.50 per share (15%) for the year ended June 30, 2026 as recommended by the Board. This is in addition to the interim dividend of Rs. 1.50 per share (15%) already paid, making a total cash dividend of Rs. 3.00 per share (30%) for the year. |
| 4 | To appoint Auditors and fix their remuneration for the year ending June 30, 2027. Present Auditors Messrs. A. F. Ferguson & Co., Chartered Accountants, are eligible for reappointment. |

Key actions for shareholders:
- Closure of share transfer books: From October 20, 2026 to October 26, 2026 (both days inclusive). Transfers received in order at the office of the Company’s Share Registrar, THK Associates (Private) Limited, at the close of business on October 19, 2026 will be treated in time for the purposes of the final cash dividend and to attend and vote at the Meeting.
- Proxy: A member entitled to attend and vote may appoint a proxy. Instruments of proxy and any Power of Attorney or other authority (or a notarized/certified copy) must be deposited with the Company's Share Registrar, THK Associates (Private) Limited, not later than 48 hours before the meeting.
- Video conference attendance: Members wishing to attend virtually must email [email protected] with name, folio number, CNIC and number of shares held and the subject line "Registration for 30th AGM of KAPCO". Video link will be shared with members whose valid emails and particulars are received not later than 48 hours before the meeting.
- CDC account holders: Account holders and sub-account holders must authenticate their identity by original Computerized National Identity Card (CNIC) or original passport at the time of attending the Meeting and bring their Participants' I.D. Number and Account Numbers in CDS, or follow corporate nominee procedures as specified.
