Independent System & Market Operator (ISMO) of Pakistan (Guarantee) Limited invites applications from dynamic, qualified, and experienced professionals on a contract basis for two senior positions: Company Secretary and Chief Internal Auditor. Position	Key Responsibilities	Eligibility & Experience
Company Secretary	Ensure compliance with Companies Act, SECP regulations and corporate governance frameworks. Act as Secretary to the Board and its Committees; prepare agendas, minutes and follow-up decisions. Maintain statutory records, registers and corporate records; ensure timely filing of statutory returns. Advise the Board and management on corporate governance, regulatory compliance and legal matters. Coordinate between Board, management, shareholders and regulators.	Member of a recognized professional body of accountants or corporate/chartered secretaries (as applicable). Master’s degree in business, finance, commerce or law from a recognized university (where specified). Minimum 20 years of post-qualification relevant experience, including at least 5 years at senior management/executive level with exposure to corporate governance, regulatory compliance and board affairs. Must meet Fit & Proper criteria as defined under the Schedule-IV of the State-Owned Enterprises (Governance and Operations) Act, 2023.
Chief Internal Auditor	Evaluate accounting, financial, credit and other operational activities as an independent appraisal function. Review adequacy and application of accounting, financial and operational controls; formulate internal audit programs. Lead, develop and manage the internal audit team and coordinate with external auditors and the Audit Committee. Conduct special audits and investigations as directed by the Board or Audit Committee.	Member of a recognized body of professional accountants (CA/CPA/ACCA etc.). MBA (Finance) or equivalent from a reputable local or international university/institution (where specified). Minimum 20 years of post-qualification relevant experience, including at least 5 years in senior management/executive roles with expertise in auditing, risk management, internal controls and governance. Must meet Fit & Proper criteria as defined under the Schedule-IV of the State-Owned Enterprises (Governance and Operations) Act, 2023.
