• Ensure Company Act (2017), SECP and corporate laws compliance; maintain statutory books and registers.
• Act as Secretary to Board and its Committees; prepare agendas, minutes and follow-up on decisions.
• Advise Board on governance, regulatory compliance, PE/State-Owned Enterprises rules, and corporate/legal matters.
• Coordinate with Board, management, shareholders and regulators; facilitate filings with regulators.

• Member of a recognized body of professional accountants OR a member of a recognized corporate/chartered secretaries body; OR a person holding a master’s degree in business or finance or law from a recognized university.
• Minimum 20 years of post-qualification relevant experience, including at least 5 years in senior/management roles with exposure to corporate governance, board affairs and company secretariat functions (per advertised criteria).

• Evaluate accounting, financial, credit and other operational activities as an independent appraisal function.
• Review adequacy and application of accounting, financial and operational controls; design internal audit programs.
• Maintain liaison with external and internal auditors; coordinate audit committee activities and report audit findings to the Board.
• Lead compliance and risk assurance activities and assess effectiveness of controls across the Company.

• Member of a recognized body of professional accountants or qualifying CA/CPA/ACMA/ACCA/MBA (Finance) from a reputed local or international institute.
• Minimum 20 years of post-qualification relevant experience, including at least 5 years in senior management or executive-level roles with demonstrable expertise in auditing, risk management and internal controls.
