First Dawood Properties Limited — Notice of 32nd Annual General Meeting (AGM)

First Dawood Properties Limited invites shareholders to its 32nd Annual General Meeting to transact the ordinary business of the Company as listed below. The meeting will be held at the Registered Office on Wednesday, 2026-10-28 at 09:30 a.m.

Important Notes and Instructions:

• Share transfer books will remain closed from 2026-10-21 to 2026-10-28 (both days inclusive). Shareholders are requested to notify the Share Registrar, FD Registrar Services (Pvt.) Ltd, 17th Floor, Saima Trade Tower A, I.I. Chundrigar Road, Karachi, of any change of address immediately.
• A member entitled to attend and vote may appoint a proxy. Proxy forms must be received at the Registered Office, duly stamped and signed, not less than 48 hours before the meeting.
• Shareholders holding unclaimed bonus shares should contact the Share Registrar to collect or inquire about their unclaimed bonus shares in accordance with section 244 of the Companies Act, 2017.
• The Securities and Exchange Commission of Pakistan has issued directions regarding replacement of physical shares with book-entry Form; shareholders holding shares in physical form are requested to convert their holdings into the Book-Entry Form as per the SECP direction referenced in the notice.
• For attending in person: Individuals must present original Computerized National Identity Card (CNIC) or passport. Corporate representatives must provide Board resolution or power of attorney and specimen signatures as required.
• Video Conferencing: If members holding at least 10% of total paid-up capital request participation by video-link in a city at least 7 days before the meeting, the Company will arrange such facility; members seeking video conferencing must provide details to the Registrar.
• Proxy requirements: The proxy form must be witnessed by two persons; attested copies of CNIC/passport of beneficial owners and proxies must accompany the proxy form. Proxies should produce original CNIC or passport at the meeting.
• Prohibition on gifts/incentives: In compliance with applicable law and SECP circulars, distribution of gifts/incentives to shareholders in connection with the meeting is restricted.
